Real World Asset (RWA) Tokenization
What It Is, How It Works, and What Regulatory Opportunities It Implies
Real World Asset (RWA) tokenization consists of the digital representation on blockchain of physical or financial assets from the real world, such as real estate, shares, credits, gold, artwork, or financial instruments. Through the creation of tokens, these assets can be fractionated, traded, and managed in a transparent, secure, and automated way through smart contracts.
What Are RWA Tokens
RWA tokens are cryptographic instruments that represent rights over a real asset. They can take various forms, depending on the nature of the underlying asset and the purpose of the project:
Security token
represent regulated financial instruments (e.g., shares, bonds)
Asset-referenced token (ART)
tokens anchored to a basket of real assets (e.g., currencies, commodities)
Utility token
used to access services or features on a platform
NFT
fractionated or with functional value on physical assets
Which Assets Can Be Tokenized
Tokenization makes traditionally illiquid assets liquid and divisible, opening new investment and management opportunities.
European Regulatory Framework
In Europe, RWA tokenization is subject to various regulations based on the project structure:
MiCAR (Reg. UE 2023/1114)
regulates crypto-assets, asset-referenced tokens (ART), and utility tokens
Regolamento DLT Pilot (UE 2022/858)
sandbox regime for secondary markets of tokenized instruments
Existing financial regulation (MiFID II, Prospectus, AML, etc.)
if tokens constitute financial instruments (e.g., security tokens), sector rules apply
Compliance with the regulatory framework is crucial: it is necessary to determine whether a token is a financial instrument, an ART, or a utility token, and assess whether CASP, PI, EMI, or VASP licenses are required.
Our RWA Tokenization Project Consulting Services
We support start-ups, fintechs, funds, and traditional enterprises in the development and regulatory validation of real asset tokenization projects. Our consulting integrates regulatory, technical, and contractual expertise, and is structured in three levels:
Base Package: Regulatory Model Analysis
- Technical analysis of the tokenized asset
- Preliminary regulatory classification of the token (MiCAR, financial instrument, ART, utility)
- Regulatory risk matrix and applicable regime
- Initial guidelines on compliance and licensing
Advanced Package: Structuring and Documentation
- Drafting MiCAR-compliant whitepaper and information documents
- Regulatory coordination for corporate structures (issuer, SPV vehicle, custody)
- Assistance on terms and conditions for users/investors
- Authorization roadmap for CASP, PI, EMI or VASP licenses
Complete Package: Governance, Compliance, Partnership
- AML/CFT framework setup for tokens and platforms
- Analysis and adaptation of contracts with partners, technology providers, and custodians
- Coordination with national authorities (e.g., OAM, Bank of Italy, Consob)
- Ongoing regulatory compliance support (MiCAR, DLT Pilot, transitional regime)
- Access to the Tomato Token Management Tool platform for lifecycle management and distribution of fungible and non-fungible tokens according to RWA standards
